Mistakes to avoid
- Underestimating time. 3 months turns into 6. Start fundraising when you have 12+ months of runway, not 3.
- No data room before outreach. Investors who ask for DD materials on a Friday afternoon will receive them on Monday — if you're organized. If not, they'll move to the next company.
- Bad cap table hygiene. Options not formally granted, shares not properly issued, missing board approvals. These are solvable but cause expensive legal delays.
- Not tracking investor conversations. Forgetting who said what, when to follow up, and which investor is at which stage is a fundraising killer. Use a CRM from day one.
- Accepting a verbal "yes" without a term sheet. Unless you have a signed term sheet in hand, the round isn't done. Keep fundraising until the wire transfer clears.
- Signing bad terms out of impatience. Once a term sheet is signed, exclusivity kicks in. Don't sign until you're comfortable with the terms — or have a competing term sheet for leverage.
- Ignoring legal costs. Spanish VC deals require startup lawyers (not general practitioners). Budget €8K-€20K for legal fees on a seed round, €20K-€40K on a Series A.
- Forgetting ENISA/CDTI. Many Spanish founders leave €100K-€500K on the table by not applying for non-dilutive grants before raising equity.
