Mistakes to avoid
- Splitting equity 50/50 without vesting. If one co-founder leaves at month 3 with 50% equity, the remaining founder is in a very difficult position. Always have reverse vesting.
- Finding a co-founder because you're afraid of being alone. Loneliness is a terrible reason to pick a co-founder. Pick a co-founder because they make the company dramatically better.
- Equating equity with contribution at founding. A 50/50 split implies equal ongoing contribution. If one person goes part-time after year 1, the split should reflect that. This should be discussed upfront, not discovered later.
- Not discussing departure scenarios. Every co-founder agreement should address "what if someone wants to leave" explicitly. Discovering this during a crisis is too late.
- Skipping the trial period. Working with someone for 40+ hours per week is very different from having coffee with them twice. A short trial period can save years of pain.
- Picking co-founders for credentials instead of complementary skills. A Stanford MBA co-founder looks great on paper but doesn't help if you already have business experience. Pick for complementary skills first, credentials second.
- Not discussing risk tolerance. One co-founder who needs a steady salary and one who is willing to go without salary for 2 years is a recipe for conflict. Align on financial risk tolerance upfront.
- Ignoring communication style differences. A direct German-style communicator paired with a diplomatic Spanish-style communicator will have constant friction. Discuss communication styles explicitly.
- No board or governance framework. Two co-founders with equal power and no governance framework will eventually deadlock. Define decision-making authority, even in a 50/50 split.
- Not using a lawyer for the co-founder agreement. Co-founder agreements in Spain must comply with specific corporate law requirements. A general practitioner will miss startup-specific provisions. Use a startup-specialized lawyer.
